# Trademark Registration for Software and SaaS Companies

In software companies the most valuable asset is not the code — code can be rewritten. What is valuable is **the name** users search for, talk about and recommend.

And that name is legally unprotected unless it is registered.

## Product Name or Company Name?

A common situation in software: the company is founded under one name and the product becomes known under another. Protecting both requires two separate applications.

If budget is limited, apply this test:

- Which name does the user **search for**?
- Which name is on the invoice, and which appears on screen?
- Which name appears in the press and on social media?

The name that leads on all three is the one to protect. In software that is almost always the product.

## The Investment Process: A Standard Diligence Item

In investor discussions the IP portfolio is a routine due diligence heading. Three things get examined:

1. **Is the product name registered?** If not, it is recorded as a risk.
2. **Is the registration in the right legal entity?** A mark taken in a founder's personal name and never assigned to the company leaves a gap.
3. **Does the scope match the product?** A registration taken in the wrong class is an unprotective certificate.

## A Domain Is Not a Trademark

This is the most widespread misconception in software. Domain registration and trademark registration are **entirely different systems**:

- A domain rests on a contract with a registrar and goes to whoever gets there first.
- A trademark right arises, as a rule, on registration and protects commercial use for specified goods and services.

The right sequence is to check domain availability and trademark availability together before settling on a name. Cases where the domain is free but the mark is taken are common.

## App Store Risk

If you publish a mobile app there is a further concrete risk: app stores can remove applications following trademark infringement notices.

The critical point is that **publishing first provides no protection**. If you have not registered your name and someone else does, they may have your app removed by complaint. The user base, the reviews and the download history can be lost that way.

## A Naming Trap Specific to Software

Software brands gravitate towards names that describe the function: "CloudInvoice", "DataSync", "AppTracker". Two problems follow:

- Because they describe the function directly, they may be refused for lack of distinctiveness.
- Even if registered, their scope is narrow; elements such as "Cloud", "Soft", "App", "Data" and "Tech" add no distinctiveness and are stripped out in the similarity assessment.
